Deseret Biologicals Speaking Engagement Agreement

Please complete and return the entire speaking Engagement Agreement within 15 days of contract delivery to confirm your participation. Signed offers not received within 15 days may be considered void.

This contract has been entered into on the by Deseret Biologicals, Inc. (hereinafter referred to as “DesBio”) and speaker (hereinafter referred to as “speaker”). We do hereby enter a contract under the following terms and conditions:

1. Speaker commits to participate in various webinars or other speaking engagements as agreed upon by both parties.
2. The speaker agrees to fulfill all responsibilities outlined in Exhibit A.
3. If the speaker chooses to turn in any materials for Facebook, they must be turned in 15 days before the event. Materials not received 15 days before may be rejected. DesBio will provide all marketing, graphic design, and artwork needs. Speaker understands that DesBio may update materials with company graphics and product pictures. All such graphic design, artwork, and printing shall remain the property of DesBio.
4. In honorarium of the services provided above, DesBio agrees to compensate speaker for each event, which will depend on the format of the event and the services provided as follows:
       Webinar with open Q&A directly with participants: $600 product credit or $300 cash
       Webinar with closed Q&A moderated by host: $500 product credit or $250 cash
       Monthly Facebook group moderating with one Facebook Live: $500 product credit or $250 cash
   -Please enter your preferred method of payment (product credit or cash):  
   *Speaker will be paid in full within 7 business days of speaking engagement completion.
5. Cancellations Policy: DesBio reserves the right to cancel event at any time without payment to Educator. If Educator will provide 10-day advance written notice if Educator is unable to attend scheduled discussion group, with the exception of unforeseen emergency circumstances. 
6.  Independent Contractor: Educator is an independent contractor of DesBio and has no authority to bind DesBio in any way. 
7. Regulatory Statements: Speaker agrees not to make any regulatory claims regarding any of DesBio’s products. No claims, actual or implied, may be used during the presentation that states that DesBio products can cure or treat any disease. 

Exhibit A: Facebook Speaker Responsibilities

1. Agrees to 1 Facebook live per month at a scheduled time with Cheyanne. Arrive 15 minutes before the event and be available for questions up to 15 minutes after the event time has concluded.
2. Agrees to moderate and long in to answer/commenting 4 days per week.
3. Agrees to mainly discuss DesBio, as well as where they practice.
4. Agrees to be vocal and clear about DesBio history, products, and how to join DesBio events, etc. 
5. Establish discussion goals and summarize results.
6. Act as the expert on the designated subject matter
7. Stay neutral and keep discussions constructive and positive.
8. Disclaimer: Speakers must disclose their affiliation with DesBio, and how they are involved.
